Clear and Accountable Governance

We design our merchant agreements to support your growth. We focus on transparent platform billing, secure AWS system operations, and full respect for user data ownership.

1. Acceptance of Terms

OSoft Labs Pvt Ltd ("CloudShoppy", "we", "us", or "our") provides e-commerce SaaS platforms and builder applications. By setting up a merchant account, launching a demo sandbox, or purchasing storefront subscriptions, you agree to be bound by these Terms of Service, our Privacy Policy, and any connected Merchant Agreements.

2. Merchant Account Security

To register as a merchant and manage virtual storefronts, you must:

Be 18 years or older to use this Service.

Provide your full legal name, current address, a valid email address, and any other details required to complete the signup process.

Maintain secure credentials for your administrator console dashboard.

Provide accurate company listings, banking channels, and KYC validations.

Accept full responsibility for all activities, catalog listings, order dispatches, and transactions processed under your storefront credentials.

3. SaaS Subscriptions and Payment Settlements

CloudShoppy offers transparent, flexible pricing tiers for storefront hosting on AWS servers:

Direct Settlements: All consumer purchase funds settle directly into the payment gateway accounts connected by the merchant (Razorpay, Cashfree, PayPal, Stripe) subject to their respective gateway processing fees.

Billing Cycles: Subscriptions are billed flat-rate on a monthly or annual register. CloudShoppy reserves the right to modify pricing schedules with 30 days notice to active merchants.

Transaction Fees: Platform fee splits (if active) are calculated atomically at checkout based on the merchant's configured store rates.

Technical Support: Technical support is provided to paying account holders and is available via email, live chat, and if agreed upon earlier, via phone and request ticketing system.

4. Fulfillment and Delivery Slabs

Fulfillment and delivery fees are configured by the merchant:

Delivery times and transit rates are set by the merchant based on distance slabs and radial zones.

Order dispatches are managed manually by the merchant using self-delivery agents or third-party courier dispatchers.

5. Intellectual Property and Content Rights

CloudShoppy respects intellectual property ownership:

Your Content: All storefront catalogs, brand descriptions, logo creations, and AI Shopping Assistant transcripts belong fully to the merchant.

Store License: CloudShoppy grants you a limited, non-transferable, single-storefront license to use our pre-built themes, modules, and administrative layouts. You may not copy, reverse-engineer, or resell our SaaS code.

6. Service Disclaimers and Liability Limits

CloudShoppy services are provided on an "as is" and "as available" basis without warranties of any kind:

We do not warrant that storefront channels will run completely uninterrupted, secure, or free from latency.

In no event shall OSoft Labs Pvt Ltd be liable for direct, indirect, incidental, punitive, or consequential losses, including lost profits, data purges, or supply chain bottlenecks.

7. Account and Conduct Terms

In using CloudShoppy services, you agree to the following conduct guidelines:

Compliance with Law: You may not use the Service for any illegal or unauthorized purpose, nor violate any laws in your jurisdiction (including copyright laws) and the laws of India.

No Destructive Elements: You must not transmit any worms, viruses, or any code of a destructive nature.

No Exploitation: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of CloudShoppy.

Keyword Restrictions: You shall not purchase search engine or pay-per-click keywords (such as Google AdWords) or domain names that use CloudShoppy trademarks or variations thereof.

Professional Behavior: Verbal or written abuse of any kind (including threats of abuse or retribution) targeting any customer, employee, partner, or officer of CloudShoppy will result in immediate account termination.

8. General Administrative Provisions

Right to Modify/Refuse: We reserve the right to modify or terminate the Service for any reason, without notice, at any time. We also reserve the right to refuse service to anyone for any reason at any time.

Data Security and Transmissions: You understand that your Content (excluding credit card information) may be transferred unencrypted and involve transmissions over various networks and changes to adapt to technical requirements.

Content Moderation: We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, or otherwise objectionable.

Entire Agreement & No Waiver: The failure of CloudShoppy to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and CloudShoppy, superseding any prior agreements.
